1. Access to the ServiceYou can access our Service via:
- Web platform;
- Chatbots in supported messaging applications;
- Mobile applications;
- Integrations with external applications (e.g., task management systems, calendars).
To use the Service, you must be
at least 18 years old. By registering for the Service, you agree to provide your date of birth or other reasonable age verification data to ensure compliance with legal requirements in both the US and EU. By using the Service, you represent and warrant that you meet this age requirement.
Beta Version Notice: The Service is currently operating in a preliminary beta version. We do not guarantee stable, uninterrupted, or error-free performance. Users are advised to use the Service with caution. Do not share sensitive personal data, and always evaluate the recommendations generated by the Service with reasonable judgment and common sense.
Organizational Use & Authorized Users (B2B)The Service may be used by individuals and by organizations (companies, non-profits, or other legal entities). If you register or use the Service on behalf of an organization (a
"Customer"), you represent that you have authority to bind that Customer to these Terms, and "you" will refer to the Customer. The Customer may invite employees and contractors as
Authorized Users under its organization account. The Customer is responsible for (i) its Authorized Users' compliance with these Terms; (ii) configuration of roles/permissions; (iii) obtaining required consents and notices from its personnel; and (iv) the accuracy, quality, and legality of data submitted to the Service.
Service Scope & ModulesDepending on your plan, the Service may include the following modules and features (some available in beta / in development):
- Individual strengths assessment & personal report (AI-assisted analysis of speech/text with a strengths profile and recommendations);
- Team diagnostics & group report (multi-user analysis with leadership distribution and health/burnout snapshots);
- Interactive team relationship map with guidance on collaboration and conflict prevention;
- Hiring/manager assessment (pre-hire deep-dive interview and team-fit analysis);
- AI‑Coach Everywhere for draft conflict-resolution, rephrasing, and quarterly 360‑pulse check‑ins (beta/in development);
- Delegation Tracker that connects to task systems and calendars to suggest best assignees based on strengths and workload (beta/in development).
Features and modules may vary by plan and region and may change or be discontinued at any time. Beta or in‑development modules are provided "as is."
2. Account RegistrationTo access certain features of the Service, you may need to create an account. You agree to:
- Provide accurate, current, and complete information during registration;
- Maintain the security of your account credentials, including enabling two-factor authentication (2FA);
- Notify us immediately if you suspect unauthorized access to your account;
- Be responsible for all activities occurring under your account.
We reserve the right to suspend or terminate accounts that violate these Terms.
3. Use of the ServiceYou agree to use the Service solely for its intended purposes. Specifically, you agree
NOT to:
- Use the Service for illegal or unauthorized purposes;
- Upload, transmit, or distribute harmful, offensive, or malicious content;
- Attempt to hack, interfere with, or disrupt the Service;
- Copy, reproduce, modify, or distribute any content generated or provided by the Service;
- Use automated systems (e.g., bots) to access the Service;
- Violate any applicable laws or regulations.
3.1 Third‑Party Services & IntegrationsThe Service may integrate with third‑party products (e.g., calendars, task managers, messaging apps, and developer tools such as Jira and Todoist). Your use of third‑party services is governed by their terms and privacy practices. We are not responsible for third‑party services or their acts or omissions. You are solely responsible for enabling integrations and for maintaining the rights necessary to connect your accounts.
3.2 Professional ServicesWe may offer paid professional services such as assessment interviews, implementation, and training under an order form or statement of work. Unless expressly stated otherwise, deliverables created through professional services are treated as Generated AI Content and licensed under Section 4.
Managed Success Engagement (B2B). For organization Customers, we may provide a designated success specialist/coach who supports your team for a
three‑month engagement. Unless agreed otherwise in the order form, (i) service hours are
capped by the package purchased; (ii) scheduling is subject to mutual availability; (iii) unused hours
do not roll over and are
forfeited at the end of the engagement term; and (iv) any additional time is billed at the overage rate stated in the order form. We do not guarantee particular outcomes or staffing continuity.
3.3 Team Assessment Workflow & Report Delivery (B2B)Intake Requirements. Prior to kickoff, the Customer must designate a
Contract Owner and provide: (a) the
goals for using the Service; (b) the
mission/objectives of the team or business unit undergoing assessment; and (c) the
participant roster. Failure to provide complete intake information may delay delivery timelines.
Assessment Completion Trigger. Consolidation of the
team report begins
after the last listed participant completes the assessment/interview, ensuring that all inputs are available for aggregation.
Delivery Timeline. Neuroiam will deliver the consolidated team report
within ten (10) Business Days following completion by the last participant,
subject to timely intake provision, reasonable Customer availability for clarifications, and absence of force‑majeure or scope changes. A
Business Day means Monday–Friday excluding public holidays in the applicable service location.
Report Format. Reports are provided as
PDF and/or an
automated in‑app view within the product interface (availability may vary by plan and region).
Methodology. Reports combine automated analysis with
expert Human Review to validate and refine outputs. Metrics may include, among other things,
team readiness against the declared mission, with explanatory notes.
4. User ContentYou may upload or provide content ("User Content") to the Service, including:
- Voice messages, text, photos, and other data.
By providing User Content, you grant us a
non-exclusive, worldwide, royalty-free license to use, store, analyze, and process the content for the purpose of delivering the Service, improving our platform, and generating AI-based recommendations and reports.
4.1 Human Review & Multi‑Specialist AnalysisYou understand and agree that certain User Content (including interview transcripts and audio samples) may be
reviewed by trained human specialists from different domains (e.g., organizational development, communication analysis) for quality assurance, coaching, and refinement of outputs. Such personnel are bound by confidentiality obligations. We may also use automated tools, including AI models, as described in the Privacy Policy.
4.2 No Sensitive or Confidential Information in InterviewsDo not disclose in interviews or other inputs: (a) special categories of personal data under GDPR (e.g., data revealing racial or ethnic origin, political opinions, religious or philosophical beliefs, trade‑union membership, genetic, biometric, or health data, sex life or sexual orientation); (b) government‑issued identifiers, payment card data, bank details, or precise geolocation; (c) third‑party personal data without a lawful basis; or (d)
Confidential Business Information, including trade secrets, undisclosed financials, product roadmaps, source code, security credentials, or other information the disclosure of which could harm the Customer or its affiliates. The Customer is responsible for instructing its personnel
not to share such information and for ensuring appropriate masking/anonymization before submission. If you inadvertently submit such information, we may
delete or redact it and are
not liable for any consequences arising from your disclosure.
4.3 Responsibility for InputsYou represent and warrant that you have obtained all necessary authorizations and notices for the submission and processing of User Content (including recordings and transcripts). You are solely responsible for the legality, accuracy, and appropriateness of User Content and for ensuring that interviews do
not include prohibited sensitive or confidential information. Where required by law (e.g., GDPR), you will provide any necessary
employee/contractor notices and consents prior to interviews.
4.4 Customer Indemnity (Inputs)To the maximum extent permitted by law, you agree to
defend, indemnify, and hold harmless Neuroiam Inc. from and against claims, damages, liabilities, costs, and expenses arising out of or related to (i) your submission of sensitive or confidential information in violation of Sections 4.2–4.3; or (ii) your failure to provide required notices/consents to interview participants.
We retain ownership of all
Generated AI Content (including text, voice responses, images, analyses, and reports) produced by the Service. Subject to your compliance with these Terms, we grant:
- Individuals (consumer accounts): a limited, non‑exclusive, non‑transferable license to use the Generated AI Content for personal, non‑commercial purposes; and
- Organizations (Customer accounts): a limited, non‑exclusive license to use the Generated AI Content for internal business purposes (including in internal documentation, presentations, and workflows).
Except as expressly permitted above, you may not sell, sublicense, publicly distribute, or use the Generated AI Content to create a competing service.
5. Payment & Billing (B2B and Consumer)Our Service offers:
- Free access to the strength identification feature;
- Paid subscriptions for full functionality;
- One-time purchases;
- In-app purchases.
5.1 Subscriptions via Web (Stripe)- Subscriptions purchased via the web interface are billed through Stripe.
- Unless otherwise stated at checkout, organizational subscriptions auto‑renew annually. You may cancel the next renewal any time before the renewal date in the admin portal or by emailing info@neuroiam.com.
- For Stripe‑based subscriptions, recurring charges continue while the subscription is active.
5.2 Invoices & Custom Services (B2B)- For non‑standard services (e.g., additional hours beyond the package, workshops, or bespoke deliverables) or upon request, we may issue an invoice to the organization with NET‑10 payment terms.
- If an invoice is not paid by the due date, we may suspend the agreement and organizational access to the Service until payment is received.
5.3 Delivery & Acceptance (B2B)- For B2B engagements, the primary service is deemed delivered when the organization’s report(s) are provided in accordance with Section 3.3 (within the stated delivery timeline). The optional three‑month success support (if included) is an ancillary benefit that may be used or not used at the Customer’s discretion and does not affect delivery completion.
5.4 Refunds- Fees are generally non‑refundable once service has commenced.
- If payment has been made but no participant attended any testing/typing or interview sessions, the Customer may request a full refund.
- If at least one participant attended, the engagement is considered activated and amounts are non‑refundable.
- This section applies in addition to statutory rights that cannot be waived.
5.5 Taxes- Prices are exclusive of taxes. Applicable taxes will be added based on the Customer’s billing address and calculated by Stripe under the laws of the Customer’s state/region.
5.6 Changes to Fees- We may change prices or packages with prior notice; changes take effect on the next renewal or order.
5.7 Non‑Payment; Suspension- We may suspend the Service, with notice, for late or unpaid amounts; access is restored once the balance is cleared.
5.8 Manual Contracts & Renewal (B2B)- Where an agreement is concluded by manual invoice, we will send renewal invoices each term until we receive a written termination request prior to the next term’s start date.
5.9 Service Communications to Authorized Users- Authorized Users added by the Customer may receive communications about product updates, onboarding, and usage tips while the subscription is active.
6. Termination and SuspensionWe may suspend or terminate your access to the Service, at our discretion, if:
- You violate these Terms;
- You engage in harmful or illegal behavior;
- You compromise the security or integrity of the Service;
- We are required to do so by law.
You may terminate your account at any time by submitting a request to
info@neuroiam.com.
7. Warranties, Confidentiality & Liability7.1 Disclaimer of WarrantiesTHE SERVICE, ALL MODULES (INCLUDING BETA / IN‑DEVELOPMENT FEATURES), AND ALL OUTPUTS/REPORTS ARE PROVIDED
“AS IS” AND
“AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. THE SERVICE PROVIDES COACHING AND ORGANIZATIONAL INSIGHTS ONLY; IT IS
NOT MEDICAL, PSYCHOLOGICAL, OR LEGAL ADVICE AND MUST NOT BE USED AS THE SOLE BASIS FOR HIGH‑STAKES EMPLOYMENT OR HEALTH DECISIONS. YOU ARE RESPONSIBLE FOR ENSURING HUMAN REVIEW OF HIRING DECISIONS AND FOR COMPLYING WITH APPLICABLE EMPLOYMENT AND ANTI‑DISCRIMINATION LAWS.
7.2 Confidentiality; No Sensitive IntakeWe will use reasonable measures to protect Customer Confidential Information submitted to the Service. However,
you agree not to submit Confidential Business Information except where strictly necessary and agreed in writing. We may delete or anonymize inadvertently received Confidential Business Information.
We are not responsible for exposure caused by information that you choose to disclose in violation of Sections 4.2–4.3.
7.3 Limitation of LiabilityTo the maximum extent permitted by law, Neuroiam Inc. shall not be liable for:
- Indirect, incidental, or consequential damages;
- Loss of data, profits, or revenue;
- Unauthorized access to or use of your data.
Our total liability under these Terms will not exceed the amount you paid to us in the past 12 months.
8. Dispute ResolutionIn the event of a dispute, you agree to:
- First attempt to resolve the dispute through direct negotiations with us.
- If unresolved, submit the dispute to binding arbitration under the laws of the State of Delaware, USA.
- You agree that any dispute will be handled individually and not as part of a class, collective, or representative action. If you are a resident of the European Union, this clause will not apply to the extent that it conflicts with your mandatory rights under applicable consumer protection laws or GDPR, including your right to seek remedies in your local courts or regulatory authorities.
9. Governing LawThese Terms are governed by and interpreted under the laws of the State of
Delaware, USA, without regard to conflict of law principles.
10. Changes to These TermsWe may update these Terms from time to time. We will notify you of changes by posting the updated Terms on our platform. Continued use of the Service after changes constitutes acceptance of the updated Terms.
11. Changes to the Service for OrganizationsWe may introduce organization‑specific terms via order forms, enterprise agreements, or a data processing agreement ("DPA"). In case of conflict between these Terms and an executed order form or DPA, the executed document will prevail to the extent of the conflict.
12. Privacy & Data ProcessingYour use of the Service is also governed by our
Privacy Policy.
